Export Compliance Notice

1. OVERVIEW

Northstar Show Systems products are subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) administered by the Bureau of Industry and Security (BIS) of the U.S. Department of Commerce. This notice describes the export classification of Northstar products and the obligations of customers regarding export and re-export.

2. PRODUCT CLASSIFICATION

Northstar products are classified under the Export Administration Regulations as follows:

EAR99 items are low-technology consumer goods that do not require an export license for most destinations. However, restrictions apply to certain countries, entities, and end-uses as described below.

3. PROHIBITED DESTINATIONS

Northstar products may NOT be exported, re-exported, or transferred to the following countries without a specific license from the U.S. government (this list is subject to change based on U.S. government sanctions):

• Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine.
• Any country or territory subject to comprehensive U.S. sanctions (refer to OFAC Sanctions Programs list).

4. PROHIBITED END-USERS

Northstar products may NOT be sold, transferred, or made available to:

• Any individual or entity on the U.S. Denied Persons List, Entity List, Unverified List, or Specially Designated Nationals (SDN) List.
• Any individual or entity known to be involved in weapons of mass destruction proliferation.
• Any military or intelligence end-user in a Country Group D:1 country (see EAR Supplement No. 1 to Part 740) without prior authorization.

5. PROHIBITED END-USES

Northstar products may NOT be used for:

• Design, development, production, or use of nuclear, chemical, or biological weapons.
• Missile technology development.
• Military applications in embargoed countries.
• Any purpose prohibited by U.S. law.

6. CUSTOMER OBLIGATIONS

• Customer represents and warrants that it is not located in, or a national or resident of, any prohibited destination.
• Customer represents that it is not on any U.S. government denied party list.
• Customer shall not export, re-export, or transfer Northstar products to any prohibited destination, end-user, or end-use.
• Customer shall screen all downstream recipients against applicable denied party lists before transferring Northstar products.
• Customer shall maintain records of all export and re-export transactions for a minimum of five (5) years.
• Customer shall promptly notify Northstar if Customer becomes aware of any potential violation.

7. NORTHSTAR COMPLIANCE PROGRAM

Northstar maintains an internal export compliance program that includes: screening all customers and orders against denied party lists; maintaining export records; providing compliance training to employees; and conducting periodic internal audits. 8. CONSEQUENCES OF VIOLATION

Violations of U.S. export control laws may result in severe civil and criminal penalties, including fines of up to $300,000 per violation (civil) or $1,000,000 per violation and imprisonment of up to 20 years (criminal). Northstar reserves the right to immediately terminate any customer relationship involving a known or suspected export control violation.
